A Natureza Jurídica dos sócios é discutida na doutrina e, sustentada por alguns
como sendo um direito de propriedade do sócio sobre a sociedade que ele
integra. Outros afirmam que ser sócio é um direito de crédito sobre a
sociedade, por ter contribuído na formação do capital social. A doutrina
majoritária inclina-se para a formação de um regime jurídico próprio entre
sócio/sociedade com regras específicas que delimitam direitos e deveres
peculiares. <br>
Direitos e Obrigações dos agentes societários: Direitos: São Direitos dos
Sócios: A participação nos lucros, assumir a função de sócio administrador,
fiscalizar os administradores das sociedades, terem acesso aos dados contábeis
e o direito de retirada. São Obrigações dos Sócios: Integralizar o Capital
Social, participar das perdas, respeitas as cláusulas pactuadas no Contrato
Social, prestar contas quando assumir a função de sócio administrador. Ocorre a
resolução do sócio perante a sociedade de quatro formas distintas, a saber:
pela morte do sócio; de forma voluntária; cessão de suas quotas a terceiros ou
exclusão (obrigatória). Pode ocorrer a exclusão, nos casos de: sócio remisso;
falta grave via ação judicial; incapacidade superveniente via ação judicial; justa
causa, para sociedades limitadas ou por via administrativa, desde que haja
previsão contrato social ou pela penhora das quotas, art. 655 do CPC. <br>
