O procedimento para desconsideração da personalidade jurídica ocorre quando há abuso da personalidade jurídica, caracterizado pela desvio de finalidade ou pela confusão patrimonial. O juiz, a pedido da parte ou do Ministério Público quando necessário intervir no processo, pode desconsiderá-la. A desconsideração da personalidade jurídica pode estender os efeitos de certas obrigações às relações patrimoniais dos administradores ou sócios da pessoa jurídica beneficiados direta ou indiretamente pelo abuso. A mera existência de um grupo econômico sem a presença dos requisitos previstos em lei não autoriza a desconsideração da personalidade jurídica. A mera expansão ou alteração da finalidade original da atividade econômica específica da pessoa jurídica não constitui desvio de finalidade.
