o credor a requerer a desconsideração, com este princípio, o que se pretende é,
que os bens que compõem o capital social, sejam idôneos para se garantir os

garantia, mas a sua efetividade, no duplo sentido de idoneidade e existência. A
obrigatoriedade da reserva legal é um corolário do princípio da efetividade
tendo em vista que existem sociedades onde a responsabilidade limitada dos
acionistas ou sócios ao montante do capital social, impossibilita os credores
sociais de buscarem o patrimônio pessoal dos sócios, motivo pelo qual o capital
social foi considerado como o instrumento adequado á garantia dos interesses
