style='font-size:9.0pt;font-family:"Arial","sans-serif"'> Estabelecimento
empresarial é o conjunto de bens reunidos do empresário que visa a exploração
de atividade econômica. É imprescindível que o empresário organize seu
estabelecimento para que possa iniciar suas atividades com fins lucrativos. Por
conseguinte, o estabelecimento empresarial compreende bens indispensáveis ou
úteis para o bom desenvolvimento da empresa. <br>
O art. 1.142 do Código Civil de 2002 define estabelecimento empresarial:<br>
"Considera-se estabelecimento todo complexo de bens organizado, para
exercício da empresa, por empresário, ou por sociedade empresária".<br>
De acordo com Fábio <span class=SpellE>Ulhoa</span> Coelho, a sociedade
empresária, poderá possuir mais de um estabelecimento, sendo que o mais
importante será a sede e o outro ou outros serão as filiais ou sucursais. Em
todos os seus estabelecimentos, a sociedade empresária exercerá a sua
atividade, bem como, cada um de seus direitos. Porém, tratando-se de
competência judicial, o foro competente para a resolução de um conflito se dará
conforme a origem da obrigação. E, no caso de pedido de falência ou de
recuperação judicial, o foro competente será o do local onde se reúnem seus
papéis e todos os documentos da administração, considerado estabelecimento
principal do devedor empresário. <br>
<b>Natureza do Estabelecimento Empresarial:</b> Tivemos várias teorias
sobre a natureza do estabelecimento, contudo, para tal entendimento ressaltamos
três pontos fundamentais:<br>
1° o estabelecimento empresarial não é sujeito de direito;<br>
2° o estabelecimento empresarial é uma coisa;<br>
3° o estabelecimento empresarial integra o patrimônio da sociedade empresária.<br>
Desta forma, não se pode confundir estabelecimento com sociedade empresária
(sujeito de direito) e nem com a própria empresa (possuidora de atividade
econômica). De acordo com o art. 1.143, CC 2002, temos:<br>
<span class=GramE>"</span>Pode o estabelecimento ser objeto unitário de
direitos e de negócios jurídicos, translativos e constitutivos, que sejam
compatíveis com a sua natureza".<br>
Desta forma, tanto o Código Civil, como a doutrina estruturam o estabelecimento
empresarial como uma coisa coletiva, como universalidade de fato, uma vez que
os bens integrantes do estabelecimento poderão ser vendidos tanto
unificadamente, como no trespasse, quanto isoladamente. Ou seja, tais bens
poderão ser objetos de diversas relações jurídicas, sejam elas autônomas ou
unificadas.<br>
Portanto, o estabelecimento empresarial é uma coisa que se diferencia da
própria empresa, pois, esta, corresponde à atividade exercida pelo empresário.
Vale ressaltar que por ser integrante do patrimônio da sociedade empresária, o
estabelecimento é objeto de direito, podendo ser alienado, onerado, arrestado,
penhorado ou objeto de <span class=SpellE>seqüestro</span>. <br>
<b>Elementos do Estabelecimento Empresarial</b>: O estabelecimento empresarial
é formado por elementos materiais (corpóreos) e imateriais (incorpóreos). Os
elementos corpóreos compreendem os mobiliários, utensílios, máquinas, veículos,
mercadorias em estoque e todos os demais bens que o empresário utiliza para o
bom desenvolvimento e organização de sua atividade econômica.<br>
Por sua vez, os elementos incorpóreos do estabelecimento empresarial
compreendem, principalmente, os bens industriais, desenho industrial, marca ,
patente de invenção, modelo de utilidade, nome empresarial e título de
estabelecimento.<br>

Desta forma, tanto o Código Civil, como a doutrina estruturam o estabelecimento
empresarial como uma coisa coletiva, como universalidade de fato, uma vez que
os bens integrantes do estabelecimento poderão ser vendidos tanto
unificadamente, como no trespasse, quanto isoladamente. Ou seja, tais bens
poderão ser objetos de diversas relações jurídicas, sejam elas autônomas ou
unificadas.<br>
Portanto, o estabelecimento empresarial é uma coisa que se diferencia da
própria empresa, pois, esta, corresponde à atividade exercida pelo empresário.
Vale ressaltar que por ser integrante do patrimônio da sociedade empresária, o
estabelecimento é objeto de direito, podendo ser alienado, onerado, arrestado,
penhoradoou objeto de <span class=SpellE>seqüestro</span>. <br>
